1. Who We Are
These Terms of Use (“Terms”) govern your access to and use of the website, courses, certifications, quizzes, community, and related services (collectively, the “Services”) offered by CODE2VIBE Academy (“CODE2VIBE Academy,” “we,” “us,” or “our”), a wholly owned subsidiary of CODE2VIBE (“CODE2VIBE,” the “Parent Company”). References to “we” include CODE2VIBE Academy and, where applicable, its Parent Company CODE2VIBE.
2. Acceptance of These Terms
By creating an account, purchasing a course or certification, or otherwise using the Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), that you can form a binding contract, and that you accept these Terms and our Privacy Statement. If you do not agree, do not use the Services.
3. Accounts and Eligibility
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to keep it current. We may suspend or terminate accounts that violate these Terms.
4. Enrollment, Courses, and Certifications
CODE2VIBE Academy provides educational content on AI-assisted software development (“vibe coding”), including video lessons, written materials, quizzes, and certification assessments. Purchasing a course grants you a limited, personal, non-transferable, non-exclusive license to access that content for your own individual learning. Certifications are awarded based on the completion and assessment criteria in effect at the time you complete them. We may update, revise, or retire course content and certification requirements at any time.
5. No Guarantee of Results
Our Services are educational. We do not guarantee any specific outcome, including employment, income, job placement, promotion, certification pass rates, or any particular skill level. Your results depend on your own effort, background, and application of the material. Any examples of outcomes are illustrative and not a promise of your results.
6. Payments
Prices are shown at checkout and are payable in full at the time of purchase unless a payment plan is expressly offered. Payments are processed by third-party payment processors (for example, Stripe); we do not store your full payment card details. You authorize us and our processor to charge the payment method you provide. All prices are in U.S. dollars unless stated otherwise, and you are responsible for any applicable taxes.
7. 30-Day Money-Back Guarantee
CODE2VIBE Academy offers a limited 30-day money-back guarantee, subject to the following conditions:
- You must submit a written refund request to legal@code2vibe.com within thirty (30) calendar days of your original purchase date.
- As a condition of the refund, you must demonstrate to CODE2VIBE Academy’s reasonable satisfaction that you did not learn anything from the purchased course or certification. To do so, you agree to provide a good-faith written explanation and, if requested, to complete a short assessment or interview so that we can evaluate the request.
- CODE2VIBE Academy will review each request in good faith and retains sole discretion to determine whether this condition has been met.
- Refunds, if approved, are issued to the original payment method within a commercially reasonable time and cover the purchase price only, excluding any third-party transaction fees where non-refundable.
- Certifications, certificates, or credential badges issued in connection with a refunded purchase are revoked upon refund, and you agree to cease representing that you hold the credential.
8. Acceptable Use
You agree not to: (a) share, resell, sublicense, record, or redistribute course videos or materials; (b) share your account or certification access with others; (c) attempt to circumvent access controls, download-protection, or domain restrictions on hosted video; (d) cheat on, tamper with, or fraudulently complete any assessment or certification; (e) scrape, copy, or create derivative works from our content except as expressly permitted; or (f) use the Services for any unlawful purpose. Violation may result in immediate termination without refund and revocation of any certification.
9. Intellectual Property
All course content, videos, text, assessments, logos, the CODE2VIBE and CODE2VIBE Academy names, and certification marks are owned by CODE2VIBE or its licensors and are protected by intellectual-property laws. Except for the limited license granted in Section 4, no rights are transferred to you. You may not use our names, logos, or certification marks except to truthfully state that you completed a certification you actually earned.
10. User Submissions
If you submit projects, prompts, code, questions, or other content (for example, in the community or as part of an assessment), you grant CODE2VIBE Academy a non-exclusive, worldwide, royalty-free license to use that content for the purpose of operating, evaluating, and improving the Services. You represent that you have the right to submit it and that it does not infringe others’ rights.
11. Third-Party Services
The Services rely on third-party providers (for example, payment processing, video hosting, learning-management, and community platforms). Your use of those features may also be subject to the third parties’ own terms. We are not responsible for third-party services.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that content is accurate or current.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODE2VIBE ACADEMY, CODE2VIBE, AND THEIR OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless CODE2VIBE Academy, its Parent Company CODE2VIBE, and their officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your submissions, your violation of these Terms, or your violation of any law or third-party right.
15. Termination
We may suspend or terminate your access at any time for violation of these Terms. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will survive.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved exclusively in the state or federal courts located in Illinois, and you consent to their jurisdiction. [If you prefer arbitration, replace this section with an arbitration clause reviewed by your attorney.]
